1. Agreement Overview & Binding Acceptance
1.1. Parties and Binding Nature. This constitutes a legally binding Agreement (“Agreement”) between you (“User,” “you,” “your”) and Cognitruz LLC, operating the brand Mantabytes and the platform www.mantabytes.com, including its brands, trade names, and operating platforms (collectively, “Company,” “we,” “us,” “our”). By initiating a purchase, completing the checkout process, accessing, or utilizing any course, bootcamp, masterclass, subscription, trial, digital product, or associated content (collectively, “Services”), you irrevocably agree to be bound by these Terms & Conditions and our integrated Privacy Policy.
1.2. Definition of “Product”. For the purposes of this Agreement, “Product” shall mean any individual Course, Bootcamp, Masterclass, Digital Product, Subscription, or other Service offered by the Company and purchased or activated by the User. Each Product is sold as a separate and independent transaction, governed by its own specific terms, pricing, access rules, enrollment period (where applicable), trial period (where applicable), and payment structure, while being collectively subject to this Agreement. References to “Services” in this Agreement shall be interpreted to include all Products individually and collectively, as the context requires.
1.3. Capacity and Age Requirements. If you are not at least 16 years of age or lack the legal capacity to form a binding contract in your jurisdiction, you are expressly prohibited from using our Services. Your continued use constitutes your ongoing acceptance and ratification of these Terms.
1.4. Authoritative Version. The authoritative version of this Agreement is the English language version hosted at www.mantabytes.com/terms-and-conditions, which shall prevail over any non-English translations.
1.5. Two Distinct Purchase Models. The Company offers its Products under two separate and distinct purchase models, each presented through its own separate checkout and funnel: (A) a Split Payment Plan, under which the User purchases enrollment in a Product and pays the full purchase price through a series of scheduled installment payments, as governed by Section 3; and (B) a Subscription, which may be offered either with a paid trial activation or without any trial (as a direct recurring subscription), and which bills on a recurring basis, as governed by Section 4. Each purchase model is independent, is offered separately, and applies only to the specific Product and checkout through which the User transacts. The model applicable to any given purchase, together with its full terms, pricing, and payment schedule, is the one disclosed on the checkout page at the time of that purchase.
1.6. Promotional Discounts. The Company may, in its sole discretion, offer promotional discounts, introductory offers, coupons, or reduced pricing on any Product under either purchase model. You expressly acknowledge and agree that, unless expressly stated otherwise in writing by the Company at checkout, any such discount, introductory offer, or reduced price applies only to the first payment (the first installment under a Split Payment Plan, or the first charge, activation payment, or first billing cycle under a Subscription), and does not apply to, reduce, or affect any subsequent installment, renewal, or recurring payment, each of which will be charged at the standard, non-discounted rate as disclosed at checkout. The User acknowledges that the discounted first-payment amount is promotional only, and that all subsequent payments will be charged at the full applicable rate.
2. Refund Policy: No Refunds, Final Sale & Waiver
2.1. All Purchases Are Final — No Refunds. You acknowledge and agree that because the Services consist of digital content not supplied on a tangible medium, and because you have expressly requested the Company to commence performance immediately upon purchase, enrollment, or trial activation (as evidenced by your completion of the checkout process), and you have expressly acknowledged that you thereby lose your statutory right of withdrawal under applicable consumer law, ALL PURCHASES ARE FINAL AND NO REFUND OR CREDIT OF ANY KIND SHALL BE PROVIDED after you have accessed any Product as defined in Section 2.3, regardless of when you make such request. This absolute no-refund policy applies equally and without exception to: (i) any and all installment payments made or due under a Split Payment Plan, including the first installment payment; (ii) any activation payment, initiation fee, or similar charge paid to activate a trial or a Subscription; (iii) any and all recurring subscription payments automatically charged upon trial expiration, upon purchase, or during any subsequent billing cycle; and (iv) any other fees or charges associated with the Product.
For the avoidance of doubt, the statutory fourteen (14) day cooling-off period under EU and UK law is expressly waived by you pursuant to Section 2.2, and no refund request made after the commencement of performance under Section 2.3 shall be honored, whether such request relates to any installment payment, any activation payment, the trial period, the recurring subscription fee, or any other payment made to the Company.
2.2. Express Consent & Waiver of Withdrawal Right. The Services provided by the Company consist of digital content not supplied on a tangible medium. By completing your purchase, enrollment, or trial activation and proceeding through the checkout process, you provide your prior, express, and informed consent for the Company to commence performance of the Services immediately, and you expressly request that such performance begin without waiting for the expiry of any cooling-off period. You explicitly acknowledge and agree that by granting this consent, you lose your statutory right of withdrawal under Article 16(m) of the EU Consumer Rights Directive (2011/83/EU), Regulation 37(1) of the UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, and all equivalent provisions in global consumer protection law, including but not limited to consumer protection statutes in the United States, United Kingdom, European Union, Asia, Africa, the Americas, and all other applicable jurisdictions worldwide. This waiver extends fully to any installment payment, any activation payment, the trial period, and all subsequent automatic recurring subscription payments authorized under Sections 3 and 4.
2.3. Final Sale Trigger & Independent Product Access.
Your right to a refund is extinguished immediately, permanently, and without exception upon the commencement of performance of any individual Course, Bootcamp, Masterclass, Digital Product, or Subscription purchased or activated (each, individually, a “Product” and collectively, the “Products”). This extinguishment applies to any installment payment, any activation payment, the trial period activation, and all subsequent recurring subscription payments.
(a) Access Definition. For the purposes of this Agreement, “Access” to a Product is recorded and commencement of performance is triggered upon the earliest occurrence of any of the following actions by the User with respect to that specific Product:
(i) loading, opening, or navigating to the Product’s content page, course dashboard, member area, or content library;
(ii) streaming, viewing, playing, or initiating any lesson, video, audio file, text-based lesson, lab, or multimedia content included within the Product;
(iii) downloading or viewing any material, workbook, resource, PDF, lab, or supplementary content associated with the Product;
(iv) under a Split Payment Plan, the successful processing of the first installment payment, which alone constitutes commencement of performance and grants enrollment to the Product, irrespective of any other User action;
(v) under a Subscription, the successful activation of the trial (where a trial applies) or the successful processing of the first subscription charge (where no trial applies), whether through an activation payment, submission of payment details, or any other activation method disclosed at checkout, which alone constitutes commencement of performance, irrespective of any other User action.
The occurrence of any one of these actions is definitive and irreversible with respect to that specific Product, irrespective of content consumption, duration of session, extent of material reviewed, or any subjective evaluation of the content by the User. The User expressly acknowledges that the processing of the first installment payment (under a Split Payment Plan) or the activation of the trial or the first subscription charge (under a Subscription), in each case alone and even in the complete absence of any subsequent content access or platform login, is sufficient to trigger the Final Sale provisions of this Section 2.3.
(b) Independent Product Transactions. Each Product purchased or activated by the User constitutes a separate, independent, and self-contained transaction, governed by its own Access record, its own pricing, its own payment structure, and its own enrollment, trial, or subscription terms. The commencement of performance, cancellation, refund eligibility, or dispute regarding any one Product shall not affect, extend, alter, or otherwise influence the terms, Access, or binding nature of any other Product purchased or activated by the same User. The User acknowledges that purchasing or activating multiple Products creates multiple, distinct contractual relationships, each enforceable on its own terms.
(c) No Cross-Product Claims. The User expressly waives any right to assert claims, refunds, or disputes regarding one Product based on their experience with, cancellation of, or dissatisfaction with any other Product. Each Product shall be evaluated, accessed, and disputed (if applicable) solely on its own merits and within its own contractual boundaries.
2.4. Non-Refundable Payments. Following the commencement of performance of any individual Product as defined in Section 2.3, all payments associated with that specific Product become final, non-refundable, and non-creditable. This includes, without limitation:
(i) any and all installment payments made or due under a Split Payment Plan, including the first installment payment, each of which becomes final and non-refundable upon successful processing, and all of which remain fully due and payable as set forth in Section 3;
(ii) any activation payment, initiation fee, or similar charge paid to activate a trial or a Subscription, which is fully earned by the Company upon payment and is non-refundable under any circumstances;
(iii) any and all recurring subscription fees automatically charged upon the expiration of the trial period, upon purchase, or during each subsequent billing cycle, each of which becomes final and non-refundable upon successful processing of the charge;
(iv) any other fees, charges, or payments made by the User to the Company in connection with the Product.
The User expressly acknowledges that each payment made for a Product is independently non-refundable and that the non-refundable nature of each payment is a fundamental and essential element of the bargain.
3. Purchase Model A: Split Payment Plan & Enrollment
3.1. Structure. Under the Split Payment Plan, the User purchases enrollment in a specific Product and agrees to pay the full purchase price of that Product through a series of scheduled, substantially equal installment payments. The number of installments (for example, three (3) or four (4) payments), the amount of each installment (for example, $14.00, $16.00, $19.00 USD, or any other amount), and the interval between installments (for example, daily, every three (3) days, every seven (7) days, every fourteen (14) days, or any other interval) are determined by the Company in its sole discretion and are the amounts and schedule shown on the checkout page at the time of purchase for that specific Product. The Split Payment Plan is not a subscription; it is a method of paying a single, fixed purchase price in parts.
3.2. Marketing and Presentation Flexibility. You acknowledge and agree that the Company and its marketers may, in their sole discretion, market, advertise, or present a Product by reference to the amount of the first installment payment, or by reference to any other aspect of the payment structure, across any marketing channel, landing page, advertisement, or checkout element. You expressly acknowledge and agree that, regardless of how the Product is marketed, advertised, framed, or presented, and regardless of which figure or aspect is emphasized in any marketing material or checkout element, your completion of the checkout process and your affirmative acceptance of these Terms & Conditions constitute your binding agreement to pay the full purchase price through all scheduled installments as set forth in this Section 3. You assume full and sole responsibility for reviewing the payment terms applicable to your purchase before completing checkout, and you waive any claim based on your own failure to review, notice, or read any figure, schedule, or term, or based on which figure was or was not emphasized in any marketing or checkout presentation.
3.3. Full Purchase Price Due Upon First Payment. You expressly acknowledge and agree that:
(i) the full purchase price of the Product constitutes a single, indivisible financial obligation that becomes wholly due and owing upon the successful processing of the first installment payment;
(ii) the division of the purchase price into installments is solely a method and convenience of payment, and does not create a divisible, cancellable, or separable series of distinct purchases;
(iii) you hereby expressly, affirmatively, and irrevocably authorize the Company, and its designated third-party payment processor(s), to automatically charge your designated payment method each scheduled installment payment on its due date until the full purchase price has been paid in full, without further notice, action, or authorization required on your part;
(iv) all installment payments remain fully due and payable even if you cease to access, use, or derive value from the Product, and even if you cancel, abandon, or stop using your enrollment;
(v) each installment payment, once processed, is final and non-refundable in accordance with Sections 2.1, 2.3, and 2.4;
(vi) where a promotional discount applies to the first installment under Section 1.6, all subsequent installments shall be charged at the standard, non-discounted installment amount as disclosed at checkout, and the discount shall not reduce the total remaining purchase price beyond the first installment;
(vii) failure or non-completion of any scheduled installment payment may result in suspension or termination of your enrollment and Access, at the Company’s sole discretion, without relieving you of your obligation to pay the full remaining purchase price, and the Company reserves the right to pursue collection of any unpaid amounts by all lawful means.
3.4. Enrollment Period. Enrollment in a Product purchased under the Split Payment Plan is limited to a defined enrollment period, the duration of which (for example, thirty (30), sixty (60), or ninety (90) calendar days, or any other period) is determined by the Company in its sole discretion and is disclosed on the checkout page at the time of purchase for that specific Product. The enrollment period defines the window during which the User may access the Product and does not alter, reduce, or affect the User’s obligation to pay the full purchase price in full.
3.5. Meaning of “Lifetime” and “Lifetime Access”. Where the terms “lifetime,” “lifetime access,” or any similar term are used in connection with any Product, in marketing, on a landing page, at checkout, or elsewhere, you expressly acknowledge and agree that such terms do not refer to the natural life of the User, nor to any guaranteed, perpetual, or indefinite period, but refer solely to the enrollment period or the operational period during which the Company, in its sole discretion, continues to make that specific Product available on its platform. Specifically:
(i) the Company does not guarantee that any Product will remain available for any fixed or minimum period of time;
(ii) the Company may, at its sole discretion and without liability, retire, remove, replace, update, modify, or discontinue any Product, or the platform as a whole, at any time;
(iii) the discontinuation, removal, expiration, or modification of a Product or an enrollment period shall not entitle the User to any refund, credit, compensation, or remedy of any kind, consistent with Sections 2 and 6.8 of this Agreement;
(iv) any such access is personal to the User, non-transferable, and limited to the individual account through which the Product was purchased.
The User acknowledges that any use of the term “lifetime” is a description of the access model and not a warranty, representation, or guarantee of any specific duration.
3.6. Binding Checkout Disclosure & Confirmatory Plan Code (Split Payment Plan). You expressly acknowledge that the number of installments, the amount of each installment, the payment schedule and intervals, the total purchase price, the enrollment period, and the final, non-refundable nature of all payments are made available to you before you complete your purchase. By submitting your payment information and completing the checkout process, you confirm that you have read, understood, and voluntarily accepted the full installment structure, the total purchase price, the enrollment period, and the non-refundable nature of all payments, and you waive any future claim that such terms were not sufficiently disclosed or that you were unaware of them.
For additional clarity and record-keeping, the Company may display at checkout a short plan code in the format “SP[number of installments]#[number of days between installments]” (for example, “SP3#1” denoting a Split Payment Plan of three (3) substantially equal installments charged one (1) day apart, or “SP4#3” denoting four (4) substantially equal installments charged three (3) days apart), where the first number indicates the total number of installments and the number following the “#” indicates the interval, in days, between each installment. You acknowledge and agree that:
(i) such plan code, where displayed, is supplementary, confirmatory evidence of the specific Split Payment Plan you have reviewed and accepted, and serves to further document your informed consent;
(ii) the validity, enforceability, and binding nature of this Agreement and of your Split Payment Plan obligations do not depend on, and are in no way conditioned upon, the display, presence, format, or absence of any such plan code;
(iii) your binding agreement to the full installment structure arises from your completion of the checkout process and your affirmative acceptance of these Terms & Conditions, whether or not any plan code is displayed;
(iv) in the event of any discrepancy, the full payment schedule and total purchase price applicable to your purchase shall govern;
(v) where a plan code is displayed, it confirms that the amount charged to you at checkout is the first installment of the total number of installments indicated, and that the remaining installments, each in substantially the same amount (subject to any first-payment promotional discount under Section 1.6), will be automatically charged at the stated interval until the full purchase price is paid in full.
3.7. Independent and Severable Payment Obligation; No Refund Regardless of Other Provisions. The User’s obligation to pay the full purchase price of any Product purchased under a Split Payment Plan, together with the absolute non-refundable nature of all payments under this Agreement, constitutes a standalone, independent, and self-sustaining obligation that is severable from, and does not depend upon the validity or enforceability of, any other provision of this Agreement. The User expressly and irrevocably acknowledges and agrees that:
(i) the User’s obligation to pay the full purchase price in full, through all scheduled installments, remains fully binding, due, and enforceable even if any other provision, clause, section, or portion of this Agreement is held to be invalid, illegal, unenforceable, void, or otherwise ineffective in whole or in part, in any jurisdiction, for any reason whatsoever;
(ii) no refund, credit, reimbursement, chargeback, or return of any payment already made shall be available to the User under any circumstances, and this no-refund obligation remains fully binding and enforceable even if any other provision of this Agreement is held to be invalid, unenforceable, or ineffective;
(iii) any outstanding or future installment payment remains fully due and payable, and the User remains fully liable for the entire remaining balance of the purchase price, even if the User ceases to access or use the Product, even if the enrollment period expires or the Product is discontinued, and even if any other provision of this Agreement is set aside, reformed, or found unenforceable;
(iv) the full-payment obligation and the no-refund obligation set forth in this Section 3.7 are each intended by the parties to be independently enforceable, and each shall be given full force and effect to the maximum extent permitted by applicable law, independently of the survival or enforceability of any other term;
(v) this Section 3.7 shall survive any termination, invalidation, expiration, or partial unenforceability of this Agreement and shall be read together with, and in addition to, Sections 2, 3.3, and 6.7.
4. Purchase Model B: Subscription (With or Without Trial)
4.1. Structure. Under the Subscription model, the User enrolls in an ongoing recurring subscription for a specific Product. The Subscription may be offered, in the Company’s sole discretion and as disclosed on the checkout page at the time of purchase, in either of the following forms:
(a) Subscription with Paid Trial Activation: the User activates a trial period through an initial payment, charge, fee, or activation amount (for example, $1.00 USD or any other amount), however named or presented at checkout, which activates a trial period of a duration (for example, three (3), seven (7), or fourteen (14) calendar days, or any other period) determined by the Company and disclosed at checkout; upon expiration of the trial period, the enrollment automatically converts into a recurring subscription; or
(b) Subscription without Trial (Direct Recurring Subscription): the User enrolls directly into a recurring subscription with no trial period, and the first recurring subscription charge is processed at the time of purchase, with subsequent charges processed automatically on each billing cycle.
The form applicable to any given purchase is the one disclosed on the checkout page at the time of that purchase.
4.2. Activation Payment and Separation of Charges (Where a Paid Trial Applies). Where a paid trial applies under Section 4.1(a), the price, fee, amount, or charge shown on the landing page, in promotions, in marketing materials, and on the checkout block to activate the trial represents solely the one-time, non-refundable activation payment for trial activation, and is entirely separate, distinct, and unrelated to the automatic recurring subscription fee of forty-nine dollars ($49.00 USD), or such other recurring rate as the Company may determine in its sole discretion and disclose at checkout, which will be automatically and irrevocably charged upon the expiration of the trial period and is itself non-refundable in accordance with Sections 2.1, 2.3, and 2.4. The activation payment:
(i) is a separate and distinct charge for account activation, payment method validation, system provisioning, access setup, and processing services, or is otherwise however characterized at checkout;
(ii) is fully earned by the Company upon successful processing;
(iii) is non-refundable, non-creditable, and non-transferable under any circumstances whatsoever, including without limitation cancellation during the trial period, failure to access the Product, dissatisfaction with the experience, or any other reason;
(iv) is not subject to pro-rata refund, partial reimbursement, or any monetary adjustment regardless of usage, cancellation timing, or any other event;
(v) is distinct and separate from the recurring subscription fee, with each constituting an independent and non-refundable payment obligation.
4.3. Authorization and Automatic Recurring Charges. Your enrollment in a Subscription (whether with a paid trial under Section 4.1(a) or without a trial under Section 4.1(b)) enrolls you in an ongoing subscription service that bills on a recurring basis. You hereby expressly, affirmatively, and irrevocably authorize the Company, and its designated third-party payment processor(s), to:
(i) where a paid trial applies, charge your designated payment method the applicable activation payment at the time of trial activation, and automatically charge the recurring subscription fee upon expiration of the trial period;
(ii) where no trial applies, charge your designated payment method the first recurring subscription fee at the time of purchase;
(iii) automatically charge your designated payment method the full recurring subscription fee of forty-nine dollars ($49.00 USD) per billing cycle, or such other recurring rate as set forth at the time of your purchase (which may include alternative rates such as $29.00 USD, $69.00 USD, $97.00 USD, or any other promotional or standard rate), on each billing cycle;
(iv) continue to automatically charge your designated payment method the recurring subscription fee on each subsequent billing cycle until such time as you cancel your subscription in accordance with Section 4.5.
Where a promotional discount applies under Section 1.6, such discount applies only to the first charge or first billing cycle, and all subsequent recurring charges shall be processed at the standard, non-discounted subscription rate as disclosed at checkout. Each charge constitutes a separate, independent, and non-refundable payment, fully earned upon successful processing, and subject to the no-refund provisions of Sections 2.1, 2.3, and 2.4. Unless you proactively cancel your subscription by emailing us at [email protected] before the trial period concludes (where a trial applies) or before the next billing cycle commences (where no trial applies), recurring charges will be processed automatically without further action or notice required on our part, until cancellation.
4.4. Binding Checkout Disclosure (Subscription). You expressly acknowledge that the trial duration (where applicable), the activation payment amount (where applicable), the automatic conversion to or commencement of a recurring subscription, the recurring subscription fee amount, the billing frequency, any first-payment promotional discount, and the final, non-refundable nature of all payments are transparently set forth before you complete your purchase, in full compliance with the UK Digital Markets, Competition and Consumers Act 2024 (DMCC Act), the EU Omnibus Directive (Directive (EU) 2019/2161), the EU Consumer Rights Directive (2011/83/EU), the U.S. Restore Online Shoppers’ Confidence Act (ROSCA, 15 U.S.C. §§ 8401–8405), and the U.S. Federal Trade Commission’s “Click-to-Cancel” and Negative Option Rule requirements. By submitting your payment information and completing the checkout process, you confirm that you have read, understood, and voluntarily accepted: (i) the trial duration (where applicable); (ii) the non-refundable nature of any activation payment; (iii) the automatic conversion to or commencement of a recurring subscription; (iv) the recurring subscription fee amount and that any discount applies to the first payment only; and (v) the non-refundable nature of all subsequent subscription payments. You waive any future claim that such terms were not sufficiently disclosed or that you were unaware of them.
4.5. Cancellation Rights and Method (Subscription). You may cancel your subscription at any time, for any reason, by emailing [email protected] with a clear request to cancel. Cancellation is effective at the end of the then-current billing cycle and will prevent future recurring charges. Consistent with Sections 2.1, 2.3, and 2.4, cancellation does not trigger, entitle, or create any right to a refund for any activation payment, any completed trial period, any completed billing cycle, or any fees already paid. The User assumes full responsibility for ensuring timely delivery of the cancellation email before the trial period concludes or before the next billing cycle commences, as applicable.
4.6. Pricing and Flexibility. The Company reserves the full right, at its sole discretion and without prior individual notice to existing or prospective Users, to modify, shorten, extend, restructure, or change the price of the trial period, the activation payment, or the recurring subscription fee, and to offer a Subscription with or without a trial, for current and future promotional campaigns, marketing strategies, or operational reasons; provided that any such modification shall apply only to new purchases or activations made after the modification takes effect. All fees are quoted in U.S. Dollars (USD) unless otherwise stated. We reserve the right to update pricing prospectively, as per Section 6.5.
5. Nature of Content, No Guarantees & No Promised Results
5.1. Educational and Informational Content Only. You expressly acknowledge and agree that all Products, Services, lessons, videos, labs, and materials provide theoretical, educational, and informational content only, and are offered solely for general informational and self-education purposes. Nothing offered by the Company constitutes professional, financial, legal, medical, investment, career, or any other form of advice.
5.2. No Promise or Guarantee of Any Result. The Company makes no promise, guarantee, representation, or warranty of any kind regarding any result, outcome, benefit, income, earnings, employment, career advancement, skill acquisition, certification, or any other result of any nature whatsoever arising from the User’s purchase, access, or use of any Product. The User expressly acknowledges that:
(i) any results depend entirely on the User’s own effort, circumstances, ability, and application, and are solely and exclusively the User’s own responsibility;
(ii) no statement, example, testimonial, case study, or illustration, whether on a landing page, in marketing, or within the content, constitutes a promise, guarantee, or representation of any result the User will or may achieve;
(iii) the User has not purchased or activated any Product in reliance on any promise or expectation of any specific result, and expressly waives any claim based on the absence, insufficiency, or non-achievement of any result.
5.3. Interpretation of Instructional Language. You expressly acknowledge and agree that the use of words such as “build,” “create,” “make,” “develop,” “launch,” “practical,” “hands-on,” “project,” or any similar instructional or descriptive language, in the name of any Product, lesson, lab, or marketing, is descriptive of the educational subject matter only and does not constitute a promise, representation, or guarantee that the Company will build, create, produce, or deliver anything on the User’s behalf, nor that the User will actually build, create, achieve, or produce any particular thing, result, or outcome. Such language describes the instructional topic and does not create any obligation, warranty, or guarantee of any kind.
5.4. Format and Delivery of Content. You expressly acknowledge and agree that the format, medium, production method, and method of delivery of all content are determined solely by the Company in its sole discretion and may change at any time, before or after purchase, without notice. Without limitation:
(i) lessons may be delivered as video, audio, text, or any combination thereof, and any audio, narration, or voice component may be produced using a human voice, a professional voice-over service, a synthetic, automated, or artificially generated voice, or any other voice technology, method, or production approach the Company elects to use;
(ii) “labs,” “practical labs,” “exercises,” “projects,” or similarly named materials may consist of text-based lessons or written instructions rather than video, interactive, software-based, or hosted environments, and do not guarantee, provide, or constitute any software, tool, environment, hosting, build, deliverable, or result of any kind;
(iii) labs, bonuses, supplementary materials, or additional content may, at the Company’s sole discretion, be included within a Product, added to a Product, offered as a complimentary bonus at the end of a bootcamp or Product, or not provided at all, and their inclusion, exclusion, timing, or removal shall not entitle the User to any refund, credit, compensation, or remedy of any kind;
(iv) the specific format, medium, voice, production method, or delivery method of any content does not constitute a warranty or representation, and the User waives any claim based on the format, voice, production method, or delivery method of the content.
5.5. No Refund Based on Content Dissatisfaction or Marketing Expectations. The User expressly acknowledges and agrees that no refund, credit, chargeback, or remedy of any kind shall be available, and the User expressly waives any claim, on the basis that: (i) the User does not like, enjoy, or approve of the content; (ii) the content, format, voice, production method, or delivery method does not match the User’s expectations; (iii) the content is alleged to differ from, or not match, any marketing, advertising, landing page, or promotional material; (iv) the User expected a different result, outcome, format, or deliverable; (v) the User used, or could have used, free, alternative, or lower-cost tools, resources, or materials instead of the Product; or (vi) any other subjective reason, justification, or dissatisfaction. The subjective evaluation, preference, or expectation of the User is expressly excluded as a ground for any refund, remedy, or claim.
6. General Provisions
6.1. Account Termination. We reserve the unilateral right to suspend or terminate access for any User who engages in abusive behavior, makes false or defamatory claims, initiates unjustified chargebacks (whether against any installment payment, any activation payment, any recurring subscription payment, or any combination thereof), fails to complete any installment payment obligation, or otherwise acts in a manner we deem, in our sole discretion, to be harmful to our community, reputation, or commercial interests. Termination under this Section does not entitle the User to any refund and does not relieve the User of any outstanding payment obligation, including any remaining balance of a Split Payment Plan purchase price.
6.2. Intellectual Property. All content is proprietary to Cognitruz LLC and its brand Mantabytes, and is protected by international copyright laws, including the Berne Convention and the Digital Millennium Copyright Act (DMCA). Unauthorized reproduction, redistribution, recording, or screenshotting of any content is strictly prohibited and will result in immediate account termination and the pursuit of maximum available legal remedies.
6.3. Disclaimer of Guarantees. Services provide theoretical educational content for informational purposes only. We disclaim all warranties, express or implied. No guarantee of employment, financial gain, result, or specific outcome is provided. This Section operates in addition to, and without limiting, Section 5.
6.4. Privacy Policy. We collect personal data solely to deliver and maintain our Services. Your data is stored securely and is never sold to third parties for marketing. You may request access to or deletion of your data by contacting us. Our full Privacy Policy, where separately provided, is incorporated into and forms part of this Agreement.
6.5. Changes to Terms. We reserve the right to modify these Terms & Conditions, including Product pricing, installment structures, enrollment periods, trial structures, promotional discounts, and recurring subscription pricing, at any time. Material changes will be communicated where required by law, and your continued use after such changes constitutes your acceptance of the revised Terms.
6.6. Tortious Interference & Business Defamation. You agree that any public, false, or defamatory statements, or the orchestration of malicious, fraudulent, or unjustified chargebacks (whether targeting any installment payment, any activation payment, any recurring subscription payment, or any combination thereof), that cause reputational or commercial harm to Cognitruz LLC or its brand Mantabytes may be pursued as a matter of tortious interference with business expectancy and business defamation. The Company will seek damages for all resulting financial losses, including lost revenue, chargeback administrative costs, legal fees, and reputational damage.
6.7. Severability and Survival.
(a) Independent Enforceability. If any provision, clause, sentence, or portion of this Agreement is held by any court, arbitrator, or regulatory body of competent jurisdiction to be invalid, illegal, unenforceable, void, or otherwise ineffective for any reason whatsoever, such determination shall not affect, impair, invalidate, or render unenforceable any other provision, clause, sentence, or portion of this Agreement, all of which shall remain in full force and effect to the maximum extent permitted by law.
(b) Reformation. Where possible, any invalid or unenforceable provision shall be deemed modified, narrowed, or reformed only to the minimum extent necessary to render it valid and enforceable, while preserving the original intent and commercial purpose of the parties to the greatest extent permitted by law.
(c) Survival of Core Terms. The following provisions shall survive any termination, invalidation, or expiration of this Agreement: Sections 2 (Refund Policy), 3 (Split Payment Plan Obligations), 4 (Subscription Obligations), 5 (Nature of Content & No Guarantees), 6 (General Provisions), and any other provisions that by their nature are intended to survive.
(d) No Waiver by Invalidity. The invalidity or unenforceability of any provision in any jurisdiction shall not affect the validity or enforceability of such provision in any other jurisdiction, nor shall it constitute a waiver of the Company’s right to enforce any other provision of this Agreement.
6.8. Complete Limitation of Liability, Exclusive Remedy, and Waiver of All Damages.
(a) No Damages Whatsoever. To the maximum extent permitted by applicable law, in no event shall the Company, its officers, directors, employees, agents, affiliates, brands, licensors, successors, assigns, or service providers be liable to the User for any damages, losses, costs, expenses, or compensation of any kind or nature whatsoever, whether direct, indirect, incidental, special, consequential, exemplary, punitive, enhanced, statutory, nominal, or any other category of damages, including without limitation damages for: (i) lost profits, lost revenue, lost savings, or lost business opportunities; (ii) loss of data, loss of goodwill, or reputational harm; (iii) business interruption or loss of anticipated benefits; (iv) emotional distress, mental anguish, inconvenience, or personal injury; (v) any investment losses, financial losses, or costs incurred by the User in reliance on the Services or Products; (vi) opportunity cost, time invested, or any subjective value assigned by the User to the Services or Products; (vii) the discontinuation, removal, expiration, or modification of any Product, enrollment period, or the platform; or (viii) any other damages of any kind, regardless of the legal theory (whether in contract, tort, negligence, strict liability, warranty, statute, or otherwise), and regardless of whether the Company has been advised of the possibility of such damages.
(b) Zero Financial Liability. To the maximum extent permitted by applicable law, the Company’s total aggregate financial liability to the User for any and all claims, causes of action, disputes, or demands arising out of or in connection with this Agreement, the Services, any Product, any installment payment, any activation payment, the trial period, or any recurring subscription payment, regardless of cause, legal theory, or number of claims, shall be ZERO ($0.00 USD). The User expressly acknowledges, accepts, and agrees that the User shall have no right to recover any monetary damages, compensation, refund, credit, or financial award from the Company under any circumstances whatsoever, except as expressly and narrowly provided in Section 6.8(c) below.
(c) Sole and Exclusive Remedy. The User’s sole and exclusive remedy for any and all claims, grievances, or disputes arising out of or relating to this Agreement, the Services, or any Product shall be strictly limited to, under a Subscription, the User’s right to cancel their subscription for future billing cycles pursuant to Section 4.5, and, under a Split Payment Plan, the User ceasing to use the Product (while remaining liable for the full purchase price as set forth in Section 3.3). The User expressly acknowledges and agrees that: (i) no such action shall entitle the User to any refund, credit, reimbursement, or compensation for any payment already made or any payment still due; (ii) no refund or monetary remedy of any kind is available following the commencement of performance as defined in Section 2.3, which the User acknowledges has been irrevocably triggered; and (iii) no other remedy, damages, compensation, injunction, declaration, or relief of any kind shall be available to the User, whether at law, in equity, by statute, or otherwise. The User’s waiver of the right of withdrawal under Section 2.2, combined with the final-sale triggers set forth in Section 2.3 and the non-refundable nature of all payments under Section 2.4, constitute a complete and irrevocable bar to any claim for monetary relief.
(d) Services Provided “As-Is”. The User expressly acknowledges and agrees that the Services and Products are provided on an “AS-IS” and “AS-AVAILABLE” basis, without any warranties, representations, guarantees, or conditions of any kind, whether express, implied, statutory, or otherwise. The Company expressly disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, quality, completeness, continued availability, format, voice, production method, delivery method, educational value, commercial value, or any guarantee of specific outcomes, results, earnings, or benefits. The User assumes full and exclusive responsibility and risk for their use of, reliance upon, and any actions or decisions made based on the Services or Products.
(e) No Compensation for Any Outcome. The User expressly acknowledges that the Services and Products provide theoretical, educational, and informational content only, and that any outcomes, results, earnings, profits, losses, or experiences arising from the User’s engagement with the Services or Products are solely and exclusively the User’s own responsibility. The User expressly and irrevocably waives any right to claim, demand, or receive any form of compensation, reimbursement, indemnification, refund, or damages from the Company based on any outcome or absence of outcome, regardless of the User’s satisfaction or dissatisfaction with the Services or Products.
(f) Waiver of Minor and Nominal Damages. The User expressly and knowingly waives any and all rights to claim, demand, or receive any damages whatsoever from the Company, including without limitation nominal damages, minor damages, symbolic damages, token damages, or any de minimis compensation, regardless of the User’s perception of harm or inconvenience. This waiver applies equally to any claim for partial refund of any payment, pro-rata reimbursement of any payment, or any other form of monetary adjustment.
(g) Essential and Fundamental Bargain. The limitations and waivers set forth in this Section 6.8, together with the refund restrictions set forth in Section 2 and the no-guarantee provisions of Section 5, are a fundamental, essential, and non-severable element of the bargain between the User and the Company, without which the Company would not have offered the Services or Products at their current pricing or on their current terms. The User expressly acknowledges that the Company’s pricing reflects the risk allocation set forth in this Section 6.8, Section 5, and Section 2, and that any modification, invalidation, or unenforceability of these limitations would fundamentally alter the economic basis of this Agreement. These limitations shall apply to the fullest extent permitted by law, and shall remain in effect even if any limited remedy set forth in this Agreement is found to have failed of its essential purpose.
